DAN MCRAE

Dan McRae is a partner in Seyfarth Shaw LLP, a national law firm (this website is personal to Dan, however, not the law firm).  Dan leads the Atlanta team that handles financing and investing in projects.  Dan has handled finance and investment transactions amounting to billions of dollars.

Dan is known for his expertise in finance and incentives, and is frequently retained by companies or communities to help them obtain successful project locations. In the formative stages of a financing, Dan will provide to borrowers and issuers a no-obligation cost of issuance estimate for the financing. In addition to industrial, office and commercial projects, Dan often assists with mixed use or multifamily development or redevelopment, tax credits, and public/private partnerships. He has handled numerous specialized projects, such as various types of power and alternative energy developments.

Dan was the first practicing attorney to be elected a director of the Georgia Economic Developers Association.  GEDA also awarded Dan its Rip Wiley award, which is the state’s highest honor for economic development service and achievement.  This made Dan the only attorney to ever receive that honor.

Dan has helped members of Georgia’s general assembly draft economic development legislation that has become law in this state. Dan handles legislative matters for GEDA as Chairman of its Public Policy Committee. Dan recently received the first "Bond Counsel Of The Year" award from the most active bond issuer in the state of Georgia. He is listed in the “Red Book” directory of nationally recognized bond lawyers.  Dan is also a member of the National Association of Bond Lawyers, and has presented at NABL’s Annual Bond Attorneys Workshop.  He represents a number of public authorities that issue bonds in Georgia.

Dan is one of few attorneys in Georgia to have closed a variety of synthetic lease and bondable lease financings.  Dan is active in such real estate industry associations as NAIOP, ULI, and CORENET.  He has been a speaker at programs sponsored by such influential organizations as the International Economic Development Council, NAIOP, and the Institute for Professionals in Taxation (IPT). Dan is a member of the Bank Counsel Section of the Georgia Bankers Association, and is an Associate Member of the Association County Commissioners of Georgia.

Dan frequently speaks on other topics, as well, including programs for the American Bar Association, The Institute of Continuing Legal Education in Georgia, The Carl Vinson Institute of Government at The University of Georgia, and various other colleges and universities.  He is a regular faculty member in educational programs for economic development professionals and authority board members.  Dan  also provides no-cost workshops  in their communities for development authorities, their board members and economic development professionals. Using both tax-exempt bonds and "taxable floaters", Dan handles financings on a national basis for churches and church schools. Dan is a principal in MC3Care Holdings, LLC, a developer and financier of senior living facilities nationwide. MC3Care is affiliated with Mission Management & Consultants, LLC, one of the premier church, school and Christian Ministry finance firms in the United States.

Dan is also active in the fields of equity finance, and mergers and acquisitions. His focus is on transactions that help companies reach the next level of corporate development or handle a succession in ownership. Dan belongs to the Association for Corporate Growth, a professional association for the mergers and acquisitions industry. Dan is a member of the American Bar Association’s Negotiated Acquisitions Committee, which has published a series of model acquisition documents and commentaries.

Dan received his undergraduate degree and his law degree (with distinction) from Emory University.  At Emory, Dan was elected to Phi Beta Kappa, and to the equivalent in law school, which is the “Order of the Coif.”
